| Subscription | One investor's commitment to an offering and its documents, with reference prefix SUB. |
| Accredited investor | An investor who meets a definition in Rule 501(a) of Regulation D. |
| Qualified purchaser | An investor who meets the Investment Company Act definition needed for Section 3(c)(7) funds. |
| Accreditation basis | The specific test the investor says they meet, such as income or net worth. |
| Verification letter | A letter from a lawyer, CPA or registered adviser confirming the investor's status. |
| Bad actor questionnaire | Questions on disqualifying events under Rule 506(d) for covered persons. |
| Countersignature | The general partner's signature accepting a subscription. |
| Closing readiness board | The view showing every investor's status from invited to funded. |
| Funding notice | A notice to the investor with the fund's own bank instructions for wiring capital. |
